Terms of Service

1. Acceptance of Terms
By accessing and using ConsignHQ (the "Service"), provided by ConsignHQ LLC ("we," "us," or "our"), you accept and agree to be bound by the terms and conditions of this agreement. If you do not agree to these terms, please do not use our Service.
You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you are at least 18 years of age.
2. Description of Service
ConsignHQ provides cloud-based software for consignment retail management, including inventory tracking, point of sale, consignor management, online storefront, and related features as described on our website. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.
3. User Registration and Accounts
To use the Service, you must create an account. You are responsible for:
• All activities that occur under your account
• Ensuring the accuracy of information you provide
• Notifying us immediately of any unauthorized use
We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.
4. Subscription and Billing
Subscription fees are billed monthly or annually in advance. You authorize us to charge your payment method for all fees. Subscriptions automatically renew unless canceled before the renewal date.
You are responsible for all charges incurred under your account. Refunds are provided at our sole discretion and are subject to our refund policy.
Each plan includes the number of staff user accounts shown for it. Plans that include unlimited users allow up to 20 active staff user accounts per shop. If you need more, contact us at hello@consignhq.com.
5. Acceptable Use Policy
You agree not to use the Service to:
• Infringe on intellectual property rights
• Transmit harmful, offensive, or inappropriate content
• Engage in deceptive or fraudulent marketing practices
• Facilitate the sale of illegal goods or services
• Facilitate gambling, terrorism, or other prohibited activities
• Interfere with the Service's operation or security
• Attempt unauthorized access to our systems
• Use the Service to send spam or unsolicited communications
You are solely responsible for your commercial activities and compliance with all applicable laws, including consumer protection, tax, and employment laws.
6. Consignment-Specific Requirements
If you operate a consignment business using our Service, you are responsible for:
• Complying with all applicable consignment laws in your jurisdiction
• Accurate record-keeping and reporting to consignors
• Timely payment of consignor proceeds
• Proper handling of consignor property
ConsignHQ is a software tool only. We are not responsible for your contractual relationships with consignors or compliance with consignment regulations.
7. Data Ownership and License
You retain all rights to your data. We claim no ownership over any content you submit to our Service. By using the Service, you grant us a limited license to use your data solely to provide and improve the Service.
You are responsible for maintaining backups of your data. We are not liable for any loss or corruption of your data.
To find and fix problems, we record sessions in the ConsignHQ app as described in Section 5 of our Privacy Policy. If other people use the Service under your account, such as your employees, you agree to let them know that their sessions may be recorded.
8. Intellectual Property Rights
The Service, including all software, designs, text, graphics, logos, and trademarks, is owned by ConsignHQ LLC and protected by intellectual property laws. You may not:
• Reverse engineer or decompile the software
• Use our trademarks without written permission
• Remove or alter any proprietary notices
9. Compliance and Export Controls
You agree to comply with all applicable laws, including U.S. export controls and economic sanctions. You may not use the Service if you are located in, or a national of, any country subject to U.S. embargo or designated as a "terrorist supporting" country.
10. Warranty Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not guarantee that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy or reliability of any information obtained through the Service.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONSIGNHQ LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.
Our total liability for any claim arising out of or relating to this agreement is limited to the amount you paid us in the 12 months prior to the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless ConsignHQ LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:
• Your violation of these Terms
• Your violation of any rights of another party
• Your business operations or commercial activities
13. Termination
You may cancel your subscription at any time through your account settings. We may terminate or suspend your access to the Service immediately, without prior notice, for conduct that violates these Terms or is harmful to other users, us, or third parties.
Upon termination, your right to use the Service will immediately cease. We may delete your data after the termination period specified in our Privacy Policy.
14. Dispute Resolution and Arbitration
Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.
The arbitration shall be conducted by a single arbitrator in Maryland. Each party shall bear its own costs and fees. The arbitrator's decision shall be final and binding.
YOU AGREE TO WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION LAWSUITS.
15. Statute of Limitations
You must bring any claim arising from these Terms or the Service within one (1) year of the date the claim arises. Claims brought after this period are permanently barred.
16. Governing Law and Venue
These Terms are governed by the laws of the State of Maryland, without regard to conflict of law principles. Any legal action not subject to arbitration must be brought in the state or federal courts located in Maryland.
17. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after changes are posted constitutes acceptance of the new Terms.
18. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
19. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ConsignHQ LLC regarding the Service and supersede all prior agreements.
